These Terms & Conditions ("Terms") govern the use of the services provided by SJL Projects ("SJL Projects", "we", "us", or "our"), including website design, development, hosting, maintenance, and related digital services.

By purchasing or using our services, you ("Client", "you", or "your") agree to be bound by these Terms.

1. Our Services

SJL Projects provides website design, website development, website hosting, maintenance, updates, and other related digital services as agreed with the Client.

The exact scope of work, deliverables, timescales, costs, and any additional requirements will be agreed between SJL Projects and the Client before work begins.

Any services or features not specifically included in the agreed scope may be charged separately.

2. Quotes and Proposals

All quotes and proposals provided by SJL Projects are valid for the period stated in the quote. If no validity period is specified, the quote will remain valid for 30 days.

A project will only be considered confirmed once the Client has accepted the proposal or quote and, where applicable, paid the required deposit or initial payment.

SJL Projects reserves the right to amend a quote if the Client's requirements change or additional work is requested after the original quote has been accepted.

3. Payments

Payment terms will be agreed with the Client before work begins.

Unless otherwise agreed in writing:

  • A deposit may be required before work commences.
  • The remaining balance will be due upon completion or before the website is launched.
  • Hosting and recurring services must be paid in advance according to the agreed billing schedule.
  • Additional work outside the agreed scope may be invoiced separately.
  • All prices are subject to applicable taxes, where required by law.

If an invoice remains unpaid after its due date, SJL Projects reserves the right to suspend services, including hosting or website access, until payment is received.

Suspension of services does not remove the Client's obligation to pay any outstanding amounts.

4. Website Design and Development

SJL Projects will create websites based on the requirements agreed with the Client.

The Client is responsible for providing accurate content, including text, images, logos, branding, contact details, and other materials required to complete the project.

The Client agrees to provide requested content and feedback within a reasonable timeframe. Delays in providing content, feedback, approvals, or access may result in delays to the project completion date.

Unless otherwise agreed, the project includes a reasonable number of revisions based on the original agreed brief. Significant changes to the design, functionality, or project scope may incur additional charges.

5. Client Responsibilities

The Client is responsible for ensuring that all materials supplied to SJL Projects are accurate and that the Client has the necessary rights and permissions to use them.

The Client must not provide content that:

  • Infringes copyright, trademarks, or other intellectual property rights.
  • Is illegal, fraudulent, defamatory, or otherwise unlawful.
  • Promotes illegal activities.
  • Contains malicious code, viruses, or harmful software.

The Client remains responsible for the legality and accuracy of the content published on their website.

6. Hosting Services

Where SJL Projects provides website hosting, hosting services will be provided for the period and price agreed with the Client.

Hosting fees are normally billed in advance on a recurring basis.

SJL Projects will make reasonable efforts to maintain hosting availability but cannot guarantee uninterrupted service.

Hosting may occasionally be unavailable due to:

  • Scheduled maintenance.
  • Emergency maintenance.
  • Server or network issues.
  • Third-party infrastructure failures.
  • Cyberattacks or security incidents.
  • Events outside our reasonable control.

SJL Projects will take reasonable steps to restore service as soon as practicable following an outage.

7. Domain Names

Where SJL Projects registers or manages a domain name on behalf of the Client, the Client remains responsible for ensuring that the domain name is appropriate for their business and does not infringe the rights of others.

Domain registration and renewal fees may be charged separately.

SJL Projects is not responsible for the loss of a domain name caused by the Client failing to provide accurate registration information or failing to pay renewal fees on time.

8. Website Maintenance and Updates

Maintenance and update services will only be provided where included in the Client's package or separately agreed.

Unless otherwise stated, ongoing maintenance does not include major redesigns, new functionality, extensive content changes, or third-party software development.

Requests outside the agreed maintenance package may be charged at SJL Projects' standard rates.

9. Third-Party Services

Websites may rely on third-party services, software, plugins, APIs, payment providers, hosting providers, analytics platforms, or other external technologies.

SJL Projects is not responsible for changes, interruptions, pricing changes, security issues, or failures caused by third-party providers.

If a third-party service is required for the website to operate, the Client may be responsible for any associated subscription or usage fees.

10. Website Launch and Approval

Before launch, the Client will be given the opportunity to review the completed website.

The Client is responsible for checking the website and confirming that the content and functionality are correct.

Once the Client approves the website or the website is made publicly available at the Client's request, the project will be considered completed.

Any subsequent changes or additional work may be charged separately unless covered by an agreed maintenance package.

11. Intellectual Property

Unless otherwise agreed in writing, the Client will own the final website content and bespoke design work created specifically for the Client once all outstanding invoices relating to the project have been paid in full.

SJL Projects retains ownership of its pre-existing materials, methods, systems, code libraries, templates, tools, processes, and know-how.

Third-party software, plugins, fonts, stock images, and other licensed materials remain subject to the terms of their respective owners and licensors.

SJL Projects may use general techniques, knowledge, and non-client-specific components developed during the project for future work.

12. Portfolio and Marketing

Unless the Client requests otherwise in writing, SJL Projects may display completed website projects in its portfolio, case studies, social media, or marketing materials.

SJL Projects may also include a discreet "Website by SJL Projects" credit or link on websites it has designed, unless otherwise agreed.

13. Website Security

SJL Projects will take reasonable measures to provide secure website services where security and maintenance are included in the agreed service.

However, no website or online service can be guaranteed to be completely secure.

The Client is responsible for maintaining secure passwords and access credentials and must not share login details unnecessarily.

SJL Projects is not responsible for security breaches caused by compromised Client accounts, weak passwords, unauthorised access, third-party services, or software outside our reasonable control.

14. Backups

Where backups are included as part of the hosting or maintenance service, SJL Projects will make reasonable efforts to maintain backups of website data.

Unless expressly agreed otherwise, the Client should maintain independent copies of important content and business data.

SJL Projects cannot guarantee that every backup will be complete or recoverable in every circumstance.

15. Search Engines and Performance

SJL Projects may design websites with search engine optimisation ("SEO"), accessibility, performance, and mobile responsiveness in mind where included in the agreed scope.

However, SJL Projects does not guarantee specific search engine rankings, website traffic, sales, leads, conversions, or business results.

Search engine algorithms and third-party platforms are outside our control.

16. Cancellation by the Client

The Client may request cancellation of a project or service by contacting SJL Projects in writing.

Deposits or payments for work already completed may be non-refundable.

If the Client cancels a project after work has begun, SJL Projects may charge for all work completed up to the cancellation date, together with any non-refundable third-party costs incurred on the Client's behalf.

For recurring hosting or maintenance services, cancellation will take effect at the end of the current paid billing period unless otherwise agreed.

17. Suspension and Termination

SJL Projects may suspend or terminate services if:

  • The Client fails to make payment.
  • The Client breaches these Terms.
  • The Client uses the services for illegal or harmful activities.
  • The Client's website presents a security risk.
  • The Client engages in abusive, threatening, or inappropriate behaviour toward SJL Projects or its staff.

Where reasonably possible, SJL Projects will provide notice before suspending or terminating services.

Termination does not affect any payment obligations that arose before termination.

18. Limitation of Liability

To the fullest extent permitted by applicable law, SJL Projects will not be liable for indirect, incidental, special, or consequential losses, including loss of profits, revenue, business opportunities, data, or reputation.

SJL Projects' total liability arising from the services will, to the extent permitted by law, be limited to the amount paid by the Client to SJL Projects for the specific services giving rise to the claim during the relevant period.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by law.

19. Force Majeure

SJL Projects will not be liable for delays or failures caused by circumstances outside its reasonable control, including natural disasters, power failures, internet outages, cyberattacks, government actions, war, strikes, pandemics, or failures of third-party providers.

20. Data Protection and Privacy

SJL Projects may process personal information in connection with providing its services.

Any personal data collected through the website or services will be handled in accordance with SJL Projects' Privacy Policy and applicable data protection laws.

The Client is responsible for ensuring that its own website complies with applicable privacy, cookie, data protection, and legal requirements.

Where a website collects personal information from its users, the Client is responsible for ensuring that appropriate privacy notices, consent mechanisms, and policies are in place.

21. Changes to These Terms

SJL Projects may update these Terms from time to time.

The latest version will be published on the SJL Projects website and will apply to future services and agreements unless otherwise required by law.

22. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable in the jurisdiction where SJL Projects is established, unless otherwise required by applicable law.

Any disputes will first be addressed through good-faith communication between SJL Projects and the Client.
